These Terms of Use (the “Terms”) set out the terms and conditions on which Envito Events Private Limited (“Envito”, “we”, “our”, or “us”) makes available its website https://www.envito.ai/ and its AI-powered guest relations and event-management services, including its WhatsApp-based AI concierge (collectively, the “Services”), to you (the “User”, “you”, or “your”).

By accessing the website, creating an account, or using any part of the Services, you agree to be bound by these Terms, our Privacy and Data Security Policy, and our Cancellation and Refund Policy. If you do not agree, you may not access the website or use the Services.

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules made thereunder, and is published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. This electronic record is generated by a computer system and does not require any physical or digital signature.


1. Definitions

Capitalised terms used in these Terms have the meanings given to them below or, where not defined here, the meanings given in our Privacy and Data Security Policy.

  • Host means an event organiser, individual host, or corporate client that creates an Envito account and uses the Services.
  • Guest means an attendee, invitee, or other person who interacts with the Services (typically via WhatsApp).
  • POC means a Point of Contact designated by a Host to coordinate aspects of an event.
  • Services means the website, AI-powered guest relations and event-management features, the WhatsApp-based AI concierge, dashboards, integrations, and any related deliverables provided by Envito.
  • Per-Event Plan and Subscription Plan have the meanings given in our Cancellation and Refund Policy.

2. About Envito

Envito provides AI-enabled guest experience and event coordination solutions for social events (such as weddings and private celebrations) and corporate events. The Services allow Hosts to engage with Guests through automated and assisted AI interactions, primarily via WhatsApp. Envito is not the organiser of any event and is not a party to any arrangement between a Host and its Guests, vendors, venues, or other third parties.

3. Eligibility and Account Registration

You represent and warrant that:

  1. You are at least eighteen (18) years of age and are competent to enter into a binding contract under applicable law;
  2. You are accessing and using the Services for lawful purposes only;
  3. The information you provide during registration and thereafter is accurate, complete, and current, and you will keep it up to date;
  4. If you are using the Services on behalf of an organisation, you have the authority to bind that organisation to these Terms.

Envito uses mobile OTP-based authentication for Host account access. You are responsible for safeguarding your login credentials and OTPs, and for all activity that occurs under your account. You must notify us immediately at contact@envito.ai of any unauthorised access or suspected security incident.

4. The Services

Envito will provide the Services in accordance with these Terms, the applicable order form or plan selected by the Host, and any commercial terms separately agreed in writing. The Services are made available on an “as-is” and “as-available” basis. We may, from time to time, add, modify, suspend, or discontinue features of the Services, including features that are in beta or marked as experimental. Material changes will be communicated through the website or to the registered email address of the Host.

Envito does not guarantee that the Services will be uninterrupted, error-free, or that any specific outcome (such as Guest attendance, response rates, or event success) will be achieved. Envito does not deploy AI to make legally significant decisions about individuals on a solely automated basis.

5. Host Responsibilities

As a Host, you agree that:

  1. You will use the Services only for lawful purposes and in compliance with all applicable laws, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and the policies of the WhatsApp Business Platform and other underlying service providers;
  2. You have obtained all consents and authorisations required under applicable law from Guests, POCs, and other individuals whose personal data you upload, share, or otherwise make available through the Services, and you have informed them that their personal data may be processed (including through AI-enabled systems) in accordance with our Privacy and Data Security Policy;
  3. You will not upload or transmit content that is unlawful, harmful, defamatory, obscene, infringing, misleading, or otherwise objectionable, or that violates the rights of any third party;
  4. You will not use the Services to send unsolicited marketing, spam, phishing messages, or any communication that violates applicable telecom, anti-spam, or messaging-platform policies;
  5. You will provide required Guest data, content, and approvals within the timelines communicated by Envito so that event-specific Services can be delivered on time;
  6. You are solely responsible for the accuracy and lawfulness of the Guest lists, event details, and other content you upload, and for the events themselves (including any arrangements made with vendors, venues, and Guests).

6. Acceptable Use

You will not, and will not permit any other person to:

  1. Use the Services for any unlawful, fraudulent, or unauthorised purpose;
  2. Attempt to gain unauthorised access to the Services, other users’ accounts, or any related systems or networks;
  3. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except to the extent expressly permitted by law;
  4. Copy, reproduce, duplicate, sell, resell, sublicense, or exploit any part of the Services for commercial purposes without Envito’s prior written consent;
  5. Upload or transmit viruses, worms, malware, or any code of a destructive or disruptive nature;
  6. Use the Services to harass, abuse, harm, defame, slander, intimidate, or discriminate against any individual or group;
  7. Use the Services to collect, track, scrape, or harvest the personal data of others except as expressly permitted by these Terms and the Privacy and Data Security Policy;
  8. Interfere with or circumvent the security features of the Services or any related platform (including the WhatsApp Business Platform);
  9. Misrepresent your identity or your affiliation with any person or organisation.

A breach of this Section 6 may result in immediate suspension or termination of your account, without liability to Envito.

7. Intellectual Property

The Services, including all software, models, designs, text, graphics, logos, and other materials made available by Envito (excluding User Content), are owned by or licensed to Envito and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, Envito grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business or personal use.

You retain ownership of the content, data, and materials you upload to or submit through the Services (“User Content”). You grant Envito a worldwide, royalty-free licence to host, store, process, transmit, display, and otherwise use the User Content solely to provide and improve the Services, to comply with applicable law, and as otherwise permitted by our Privacy and Data Security Policy. Envito does not use personal data of Hosts, Guests, or POCs to train public or generalised AI foundation models.

8. Fees, Payments, and Taxes

Fees for the Services are set out in the applicable Per-Event Plan, Subscription Plan, or order form. Unless otherwise stated, fees are exclusive of taxes (including GST), which will be added at the applicable rate. Payments are processed through third-party payment gateways; the terms of those gateways will separately govern your use of the relevant payment method.

Envito is not responsible for any failure, delay, or decline of a transaction arising from the payment gateway, your bank, or any other third party. All third-party charges (such as WhatsApp conversation charges, payment gateway charges, and applicable taxes) are payable in addition to Envito’s fees and are non-refundable to the extent that Envito has paid them to third parties.

Cancellations, refunds, downgrades, and renewals are governed by the Cancellation and Refund Policy, which forms part of these Terms.

9. Third-Party Services and Links

The Services rely on, and may integrate with, third-party platforms (including the WhatsApp Business Platform operated by Meta Platforms, Inc., cloud hosting providers, large language model service providers, and payment gateways). Your use of these third-party services is subject to the terms and policies of the respective providers, and Envito is not responsible for their availability, performance, or actions.

The website may contain links to third-party websites that are not under Envito’s control. Envito is not responsible for the content, accuracy, or practices of any linked website and the inclusion of any link does not imply endorsement.

10. Privacy and Data Protection

Your use of the Services is also governed by our Privacy and Data Security Policy, which describes how Envito collects, uses, shares, and protects personal data. By using the Services, you acknowledge that you have read and understood that Policy.

Where a Host uploads personal data relating to Guests or other third parties, Envito acts as a Data Processor and processes such data solely on the documented instructions of the Host (who is the Data Fiduciary in respect of that data). The Host remains responsible for obtaining the consents required under applicable law from those individuals.

11. Confidentiality

Each party will keep confidential all non-public information disclosed by the other party in connection with the Services and will use it only for the purpose of performing under, or exercising rights under, these Terms. This obligation does not apply to information that is (a) publicly available without breach of these Terms, (b) lawfully obtained from a third party without confidentiality obligations, or (c) required to be disclosed by law or a competent authority.

12. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted availability. Envito does not warrant that the AI-generated outputs (including automated replies, summaries, and inferred preferences) will be accurate, complete, or suitable for any particular purpose, and Hosts are responsible for reviewing such outputs where the context requires.

13. Limitation of Liability

To the maximum extent permitted by applicable law:

  1. Envito (including its directors, officers, employees, affiliates, agents, contractors, and service providers) will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, goodwill, data, or business opportunity, arising out of or in connection with the Services or these Terms, even if Envito has been advised of the possibility of such damages.
  2. Envito’s aggregate liability arising out of or in connection with the Services or these Terms (whether in contract, tort, or otherwise) in any twelve (12) month period will not exceed the total fees actually paid by the Host to Envito for the Services giving rise to the claim in that period.
  3. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Envito and its directors, officers, employees, affiliates, agents, contractors, and service providers from and against any third-party claims, demands, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms or any applicable law; (b) your User Content or your use of the Services; (c) your infringement of any third-party rights (including intellectual property and privacy rights); or (d) your acts or omissions in organising or conducting the underlying event.

15. Suspension and Termination

Envito may suspend or terminate your access to the Services, in whole or in part, with or without notice, if:

  1. You materially breach these Terms or our Privacy and Data Security Policy;
  2. We reasonably suspect fraud, misuse of the WhatsApp Business Platform, unlawful activity, or risk of harm to Envito, other users, or third parties;
  3. We are required to do so by applicable law, court order, or a competent authority; or
  4. Continued provision of the Services to you becomes commercially or technically impracticable.

You may stop using the Services at any time. Cancellation of a Per-Event Plan or Subscription is governed by the Cancellation and Refund Policy. Sections that by their nature should survive termination (including Sections 7, 8, 11, 12, 13, 14, 17, and 18) will survive.

16. Force Majeure

Envito will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, civil unrest, government action, telecommunications or internet outages, failures of third-party platforms (including the WhatsApp Business Platform), or cyber-attacks.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without reference to conflict-of-laws principles. Subject to Section 18, the courts at New Delhi, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

18. Dispute Resolution

The parties will first attempt to resolve any dispute amicably through good-faith discussions. If a dispute remains unresolved for thirty (30) days after written notice, either party may refer the dispute to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, India, and the language of arbitration shall be English. The arbitration award shall be final and binding on the parties.

19. Changes to These Terms

Envito may update these Terms from time to time to reflect changes in the Services, our practices, or applicable law. The most current version will always be available on our website with an updated “Last updated” date. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.

20. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy and Data Security Policy, the Cancellation and Refund Policy, and any order form or written commercial terms agreed with Envito, constitute the entire agreement between you and Envito regarding the Services.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver. Failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
  • Assignment. You may not assign these Terms without Envito’s prior written consent. Envito may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.
  • Headings. Section headings are for convenience only and do not affect interpretation.

21. Grievance Officer and Contact

In accordance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, Envito has appointed a Grievance Officer to address concerns relating to the Services and the processing of personal data.
